Terms of Service

1. Acceptance of Terms
By creating an account on Payroll-IND (Payroll-IND.com), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Payroll-IND ("we", "us").
If you are accepting on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, do not use the platform.
2. Description of Service
Payroll-IND is a cloud-based payroll and HR management platform for Indian businesses. The platform assists with:
- Payroll computation (gross salary, deductions, net pay)
- Statutory compliance file generation: EPF ECR, ESIC Excel, Form 24Q, Form 16, Professional Tax challans
- Payslip generation and distribution
- Salary bank transfer file generation (HDFC, SBI, Axis, ICICI, Kotak, Yes Bank formats)
- Leave and attendance management
- Employee self-service portal
- Loan, advance, and reimbursement tracking
Important: Payroll-IND generates salary transfer files for upload to your bank portal. We do not hold, transfer, or disburse salary funds. All salary payments are made directly by your organisation through your bank account. Money never passes through Payroll-IND.
3. Account Registration
- You must provide accurate, complete, and current information during registration.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must immediately notify us at support@Payroll-IND.com of any unauthorised access to your account.
- Each account is for a single organisation. Multi-entity access is supported through linked accounts.
- You must be at least 18 years old and an authorised representative of the organisation to create an account.
4. Your Data and Responsibilities
You retain full ownership of all data you upload or generate through Payroll-IND. We process it solely as your data processor (as defined under the DPDP Act, 2023).
You are responsible for:
- The accuracy of all employee data, salary structures, attendance records, and tax declarations entered into the platform.
- Obtaining necessary consent from your employees to process their personal data (PAN, Aadhaar, bank details, salary) using Payroll-IND.
- Verifying that all compliance files generated (EPF ECR, ESIC challan, Form 24Q, etc.) are correct before submission to government portals.
- Complying with all applicable Indian labour laws, tax laws, and statutory obligations. Payroll-IND is a tool to assist compliance — final responsibility rests with you.
- Keeping your software integrations (biometric devices, bank portals) secure and up to date.
5. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any Indian law.
- Enter false, fraudulent, or misleading employee or salary data.
- Share your account credentials with unauthorised individuals outside your organisation.
- Attempt to reverse-engineer, decompile, or extract the source code of the platform.
- Use automated scripts, bots, or scrapers to access the platform.
- Upload malicious files, viruses, or code.
- Circumvent any security, rate-limiting, or access control mechanisms.
6. Subscription and Payment
- Free trial: New accounts receive a 90-day free trial for up to 30 employees. No credit card is required to start the trial.
- Paid plans: After the trial period, continued use requires a paid subscription. Plan details and pricing are available on our website.
- Billing: Subscriptions are billed in Indian Rupees (INR). All prices are exclusive of GST (18%). GST will be added to invoices at the applicable rate.
- Payment processor: Payments are processed by Razorpay. By paying, you agree to Razorpay's terms of service.
- Refunds: We offer a 7-day refund on first-time annual plan purchases if requested within 7 days of payment. Monthly subscriptions are non-refundable.
- Non-payment: Failure to pay within 14 days of the due date may result in account suspension. Data is retained for 30 days post-suspension before deletion.
7. Intellectual Property
The Payroll-IND platform, software, algorithms, user interface, and branding are the intellectual property of Payroll-IND and are protected under the Copyright Act, 1957 and other applicable Indian IP laws.
Your data (employee records, payroll runs, documents) remains your property. We do not claim ownership of any data you upload or generate.
8. Availability and Support
- We target 99.5% uptime but do not guarantee uninterrupted availability. Scheduled maintenance will be notified in advance.
- Support is available Monday–Saturday, 9am–6pm IST via email at support@Payroll-IND.com.
- We are not responsible for downtime caused by third-party services (AWS, Razorpay, email providers) or force majeure events.
9. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- Payroll-IND shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform.
- Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total subscription fees paid by you in the 3 months immediately preceding the event giving rise to the claim.
- We are not liable for errors in statutory calculations resulting from incorrect data entered by you, changes in government rules not yet reflected in the platform, or misuse of generated compliance files.
- You are solely responsible for verifying all compliance filings with your CA or statutory adviser before submission to government authorities.
10. Termination
- By you: You may cancel your account at any time. Upon cancellation, you can export all your data. Data is retained for 30 days before permanent deletion.
- By us: We may suspend or terminate your account with 7 days' notice for material breach of these Terms, non-payment, or illegal use. Immediate termination applies for serious violations (fraud, illegal activity, security threats).
- Effect of termination: Upon termination, your right to access the platform ceases. You remain responsible for any outstanding amounts owed.
11. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email to the registered admin email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation.
If unresolved within 30 days, disputes shall be settled by arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India. The language of arbitration shall be English.
For matters not subject to arbitration, the courts of India shall have exclusive jurisdiction.
